1. Acceptance of Terms

By accessing and using RevSeer's sales analytics platform ("Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

RevSeer provides a SaaS sales analytics platform that offers:

• Buyer signal tracking
• High-intent lead identification
• Multi-channel analytics and reporting
• CRM and third-party integrations
• Real-time visitor tracking
• Behavioral scoring and analytics

3. Account Registration

3.1 Account Creation

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibility

You are solely responsible for all activities under your account. Notify us immediately of any unauthorized access or security breaches.

3.3 Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of your organization.

4. Subscription and Payment

4.1 Pricing

Subscription fees are listed on our pricing page. All fees are in US dollars and exclude applicable taxes unless stated otherwise.

4.2 Payment Terms

• Subscriptions are billed monthly in advance
• Payment is processed automatically via Stripe
• All fees are non-refundable except as required by law
• Failed payments may result in service suspension

4.3 Free Trial

We offer a 14-day free trial for new customers. Your card will not be charged during the trial period. Cancel anytime before the trial ends to avoid charges.

4.4 Price Changes

We reserve the right to modify pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.

5. Cancellation and Termination

5.1 Cancellation by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

5.2 Termination by Us

We may suspend or terminate your account for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Misuse of the Service

5.3 Effect of Termination

Upon termination, your access to the Service will cease. We will retain your data for 30 days before permanent deletion, unless legally required to retain it longer.

6. Acceptable Use Policy

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Use the Service for fraudulent purposes
• Scrape or harvest data without permission
• Reverse engineer or decompile the Service
• Resell or redistribute the Service

7. Data and Privacy

You retain all rights to your data. By using our Service, you grant us a license to process and analyze your data to provide the Service.

The Service, including all content, features, and functionality, is owned by RevSeer and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without our written permission.

9. Third-Party Services

Our Service integrates with third-party services (Delivr.ai, PostHog, Stripe, etc.). Your use of these services is subject to their respective terms and conditions. We are not responsible for third-party services or their availability.

10. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for service interruptions beyond our control.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVSEER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless RevSeer from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.

14.2 Arbitration

Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except where prohibited by law.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and RevSeer
• Severability: If any provision is found invalid, the remaining provisions continue in effect
• Waiver: Failure to enforce any right does not constitute a waiver
• Assignment: You may not assign these Terms; we may assign them without restriction
